1. About these terms

These terms govern your access to and use of the Ascendex Finance website and platform ("the platform"), operated by Ascendex Finance ("we", "us").

By accessing or using the platform you agree to these terms. If you do not agree, you should not use the platform.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts. Access to specific opportunities may additionally require you to fall within a particular investor category, to be resident in a permitted jurisdiction, and to complete identity and eligibility verification to our satisfaction.

We may decline, suspend, or withdraw access to the platform or to any opportunity, including where required by applicable law or where verification cannot be completed.

3. Nature of the service

The platform provides access to information about investment opportunities and the means to review and, where eligible, participate in them. We do not provide personal investment, legal, or tax advice, and nothing on the platform should be construed as a recommendation to invest.

The terms governing any particular investment are those set out in the documentation for that opportunity, which prevail over any summary shown on the platform.

4. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly at hello@ascendex.finance if you believe your account has been accessed without authorisation.

You agree that the information you provide is accurate and complete, and that you will keep it up to date.

5. Acceptable use

You must not use the platform for any unlawful purpose; attempt to gain unauthorised access to any part of it; interfere with its operation or security; scrape, copy, or redistribute its content other than as permitted; or misrepresent your identity, eligibility, or the source of your funds.

6. Intellectual property

The content, design, and software comprising the platform are owned by or licensed to Ascendex Finance and are protected by intellectual property laws. You may view and print material for your own use in evaluating an opportunity, but may not otherwise reproduce or exploit it without our written consent.

7. Third-party content and links

The platform may reference or link to third-party information and services. We do not control that material and are not responsible for its accuracy, availability, or content.

8. Investment terms

Every opportunity on the platform is governed by its own documentation. That documentation sets out the structure, terms, horizon, and characteristics of the investment, and it is that documentation — not any summary shown on the platform — that governs your participation. You should read it in full, along with our Risk Disclosure, before committing capital.

9. Limitation of liability

To the fullest extent permitted by applicable law, and except in respect of liability that cannot lawfully be excluded, Ascendex Finance shall not be liable for any indirect or consequential loss, or for loss of profit, revenue, or anticipated investment gain, arising from your use of the platform. Nothing in these terms excludes liability for fraud or fraudulent misrepresentation.

10. Suspension and termination

We may suspend or terminate your access where you breach these terms, where required by law or a regulator, or where we reasonably suspect unlawful activity. You may close your account at any time, subject to any outstanding investment commitments, which remain governed by their own documentation.

11. Changes

We may amend these terms from time to time. Material changes will be notified through the platform or by email. Continued use after changes take effect constitutes acceptance.

12. Governing law and disputes

These terms are governed by the laws of the jurisdiction in which Ascendex Finance is established, and the courts of that jurisdiction shall have exclusive jurisdiction over any dispute arising from them, unless applicable law provides otherwise.
